Terms and Conditions
1. Contract Agreement: The contract agreement between Swift Tech Services Ltd (hereinafter referred to as "STSL") and the customer (hereinafter referred to as "Customer"), shall be subject to the terms and conditions outlined below.
2. Services Provided: STSL shall provide security systems such as CCTV and access control, WiFi, epos, and software hardware, installation, and ongoing services and maintenance to the Customer.
3. Contract Length: The standard contract length shall be 24 months unless stated differently on the service agreement. The contract shall automatically roll over for an additional 90 days once out of contract.
The Customer must provide STSL with 90 days' notice of cancellation.
4. Payment Terms: The Customer shall pay for the services provided by STSL as outlined in the service agreement. Payment shall be due within 30 days of the invoice date. Late payments shall incur a penalty fee of 5% of the total invoice amount per month.
5. Warranty and Support: STSL shall provide a warranty on all hardware and installation services for a period of 12 months from the date of installation. STSL shall also provide ongoing support and maintenance services to the Customer as outlined in the service agreement.
6. Limitation of Liability: STSL shall not be liable for any damages or losses incurred by the Customer as a result of the use of the services provided, except in cases of gross negligence or willful misconduct.
7. Intellectual Property: Any intellectual property rights arising from the services provided by STSL shall remain the property of STSL. The Customer shall not reproduce, distribute, or modify any intellectual property without prior written consent from STSL.
8. Termination: STSL reserves the right to terminate the contract agreement with the Customer in cases of breach of contract, non-payment, or any other reason deemed necessary by STSL. In such cases, the Customer shall be liable for any outstanding payments and the return of any equipment provided by STSL.
9. Non-Solicitation of Employees and Subcontractors: By agreeing to these terms and conditions, the client agrees not to approach or solicit employees or subcontractors of Swift Tech Services for employment or subcontracted work. This includes but is not limited to seeking to hire or engage in work orders that are not directly with Swift Tech Services.
Any breach of this non-solicitation clause may result in legal action being taken against the client by Swift Tech Services and/or damaged re-claimed in the way of a contract cancellationa nd termination charge.
10. Confidentiality and Non-Disclosure Agreement (NDA): The client agrees to maintain the confidentiality of any proprietary information, trade secrets, or other sensitive information shared by Swift Tech Services during the course of their business relationship. This includes but is not limited to client referalls, testimonials and case studies, employee and subcontractor information, pricing information, and internal processes.
The client agrees not to disclose any confidential information to third parties without the prior written consent of Swift Tech Services. Any breach of this confidentiality agreement may result in legal action being taken against the client and/or damaged re-claimed in the way of a contract cancellationa nd termination charge.
The client agrees to adhere to the terms of this NDA for the duration of their relationship with Swift Tech Services and for a period of three years following the termination of said relationship.
11. Governing Law: The terms and conditions outlined in this agreement shall be governed by and construed in accordance with the laws of England and Wales.
By signing the service agreement with STSL, the Customer agrees to be bound by the terms and conditions outlined above. Any amendments or modifications to these terms and conditions must be agreed upon in writing by both parties.
